Terms of Service
Last updated: November 5, 2026
These Terms of Service (“Terms”) govern your access to and use of Memova, including our website, applications, products, and services (collectively, the “Service”). The Service is provided by MEMOVA LLC (“Memova,” “we,” “us,” or “our”).
By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
1. The Service
Memova helps you capture, transcribe, organize, summarize, search, and understand conversations, notes, recordings, images, PDFs, documents, and other material you choose to provide. Features may include recording, transcription, uploads, organization, questions and answers, generated outputs, editing, export, deletion, and synchronization or backup where enabled.
On first use, agreement to the basic privacy notice and Privacy Policy is required before entering Apple Watch connection. If you do not agree at that time, you do not enter that process. This agreement does not enable cloud AI or authorize sharing records or health measurements with third parties. After the relevant setup, local recording, local transcription, and offline search are available free of charge without an account or subscription. Registration is optional for account-based features.
Recordings are transcribed on your device. Original recordings and voiceprint models remain on your device and are not uploaded to Memova or its cloud providers. The recording content submitted for cloud analysis is limited to transcript text and textual context you authorize.
Cloud features require an account and network connection; availability, version support, and subscription requirements follow the in-app description. Microsoft Azure AI services provide relevant AI capabilities. Depending on the feature and permission, processing may involve text, images, documents, attachments, conversation context, or generated results. Ordinary cloud permission does not replace separate permission for health measurements. Creating an account, purchasing a subscription, or granting device access does not itself authorize cloud sharing.
In supported manual mode, you select the submission scope; hour-based organization uses a particular date and recording period. Questions and answers may also include relevant conversation history and cited material, rather than only the latest input. Automatic mode includes local transcript text already completed on the day the mode is enabled and text completed later that day. It continues for each subsequent day's text without automatically backfilling earlier dates. My Day recaps and To explore content update after configured Working time using authorized and available material; Custom entries and Spark may still be initiated before then.
Stopping cloud use or switching to local mode does not automatically withdraw previously submitted content or delete saved cloud information. Existing tasks follow the applicable feature cancellation rules. Content storage, task processing, and display of results are separate stages. Viewing an output on your device does not establish on-device generation.
After the relevant confirmation, an individual Meeting Note may use its completed local transcript and original notes as one task to generate a title, highlights, summary, and page. In-app viewing and link access may use different mechanisms. Some older meeting pages can be viewed without signing in by anyone holding a valid link. Review the actual access mechanism before sharing, and review AI-generated results before use.
We may update, modify, suspend, or discontinue parts of the Service from time to time.
2. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with permission from a parent or legal guardian.
By using the Service, you represent that you have the legal capacity to enter into these Terms.
3. Your Account
Basic local features do not require an account. Some cloud or other account-based features require registration.
You are responsible for accurate account information, safeguarding credentials, activity under your account, and promptly notifying us of suspected compromise. Signing in does not grant access to another account's content. Protected resources are subject to relevant checks of identity, content ownership, workspace, authorization scope, credentials, and content status.
Connectors, plugins, and supported tools accessing Memova require valid authorization credentials and are limited by granted scopes. Connecting a tool does not grant all account permissions. Revocation or expiry affects later access using that authorization but cannot retrieve copies already delivered, downloaded, or retained.
Memova provides an account deletion request process that may require renewed identity verification and account confirmation. Once accepted, relevant account access is disabled, login sessions and tool authorizations are revoked, and related integration connections stored in Memova are cleared. Cloud information is then handled in background processes. Acceptance of a request does not mean all cleanup is complete. Billing or security records may follow different retention rules, and external copies cannot automatically be deleted.
We may suspend or terminate your account if we believe you have violated these Terms or used the Service in a way that may harm us, other users, or third parties.
4. Your Content
“Your Content” includes audio, speech, recordings, transcripts, notes, prompts, questions, photos, PDFs, documents, files, text, metadata, and other material you record, upload, submit, store, or otherwise provide, together with outputs generated from it.
You retain ownership of Your Content. You grant Memova a limited license to process it only as necessary for the Service and features you choose, including requested transcripts, summaries, answers, drafts, notes, and other outputs. These Terms do not transfer ownership or replace the permission required for sharing with a third-party AI service. Processing remains limited to the content, purposes, and modes you authorize.
We do not use your private recordings, transcripts, notes, conversations, or generated content for advertising or to train general-purpose AI models. Local transcription and authorized cloud inference and generation needed to provide your feature are different purposes from general-purpose model training. The training restriction does not mean content avoids the cloud or that all temporary material or provider copies are immediately cleaned up.
You can set when the app clears original audio. Original recordings managed by the app are retained for no more than 30 days. This maximum applies only to app-managed original audio, not voiceprint models, transcripts, notes, summaries, other saved outputs, or logs. It does not delete copies you have exported outside the app, and ordinary backup or background-cleanup provisions do not extend this in-app maximum.
Formally saved cloud transcripts, notes, and outputs are retained until manual deletion, subject to Privacy Policy retention and deletion rules and the service availability limitations in Sections 13 and 14. Task completion, mode changes, and local-cache clearing do not delete cloud content.
Content deletion, task cancellation, share revocation, and account closure have different scopes. Interface removal, access invalidation, background cleanup, and expiry of retained copies may be separate stages; cleanup may require retries after storage or network failures. Content is not moved to a recycle bin, but deletion does not mean all caches, logs, backups, and provider copies are physically erased at once. Deleting a transcript does not automatically delete existing notes, summaries, Personal Manuals, webpages, or other saved content that previously used or cited it; you manage or delete those items separately. If the original transcript or audio has been deleted, source-text review or playback may no longer be available. Further use of retained content remains subject to the scope you authorize. External copies are managed separately. The Privacy Policy provides further details.
5. Your Responsibilities
You are responsible for Your Content and your use of the Service.
You represent and warrant that:
- You have the rights and permissions needed to record, upload, submit, process, store, and use Your Content
- Your use of the Service complies with applicable laws, regulations, contracts, professional obligations, and these Terms
- You will obtain any required consent before recording, transcribing, summarizing, or analyzing a conversation
- You will not upload or process content that you are not legally allowed to use
Laws about recording, transcription, consent, monitoring, privacy, and professional confidentiality vary by location and context. You are responsible for understanding and following the rules that apply to you.
6. Sensitive and Regulated Information
The Service may be used with information related to health, legal matters, finance, employment, education, personal relationships, or other sensitive topics.
Memova is not designed to replace professional judgment or advice. You should not rely solely on the Service for medical, legal, financial, employment, safety, or other high-impact decisions.
Health-related features are intended to help you review your own health, fitness, and wellbeing context. Health indicators, including heart rate variability (HRV), do not by themselves establish a particular emotion or a medical diagnosis. Any associated interpretation may be inaccurate. Permission to access health data on your device, or enabling a local health setting, does not by itself authorize sharing health data with a third-party AI provider.
If you use the Service in a professional, regulated, or sensitive context, you are responsible for ensuring that your use complies with applicable confidentiality, privacy, consent, retention, and recordkeeping obligations.
7. AI-Generated Outputs
The Service may use artificial intelligence to generate transcripts, summaries, answers, drafts, structured notes, extracted information, and other outputs.
AI-generated outputs may be incomplete, inaccurate, misleading, or unsuitable for your situation. You are responsible for reviewing and verifying outputs before relying on them or sharing them with others.
You should not treat AI-generated outputs as professional medical, legal, financial, tax, accounting, employment, or other specialized advice.
8. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, court order, contract, or third-party right
- Record, transcribe, monitor, or analyze people without required notice or consent
- Upload or process content you do not have the right to use
- Infringe intellectual property, privacy, publicity, confidentiality, or other rights
- Generate or distribute unlawful, harmful, deceptive, abusive, harassing, defamatory, or discriminatory content
- Impersonate another person or misrepresent your identity or affiliation
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with, disrupt, overload, or compromise the Service
- Reverse engineer, scrape, copy, or extract data from the Service except as permitted by law
- Use the Service to develop competing products or services
- Circumvent usage limits, security measures, or access controls
We may investigate and take appropriate action if we believe the Service is being misused.
9. Privacy and Information Security
Our Privacy Policy describes information collection, use, processing, retention, and protection. Agreement to the initial privacy notice is required before Watch connection. That agreement, acceptance of these Terms, account creation, or acknowledgment of the policy does not authorize third-party AI sharing. Relevant cloud and health-measurement permissions must be obtained separately.
Client connections to Memova production interfaces use HTTPS/TLS. The main Azure Blob Storage file storage and Azure Database for PostgreSQL business database use Azure-provided AES-256 encryption at rest, with the relevant keys managed by Microsoft. That file storage requires HTTPS with a minimum TLS version of 1.2; the database requires TLS connections. This scope does not establish the same configuration for every log, backup, or other system, or promise end-to-end encryption or that providers cannot access content.
Authentication, content-ownership checks, and application-layer access rules restrict protected content. Different accounts are logically isolated through these rules. Downloads have relevant permission checks, with some authorizations time-limited. Recognized access-token, password, and key fields, and credentials in certain links, are filtered in necessary operational logs. This does not establish anonymization of all logs or automatic removal of arbitrary private content.
Contact hello@memova.ai about privacy matters.
10. Subscriptions, Payments, and Billing
Some features of the Service may require payment or a subscription.
If you purchase a paid plan, you agree to provide accurate billing information and authorize us or our payment provider to charge applicable fees, taxes, and renewal charges.
Unless otherwise stated:
- Subscription fees are billed in advance
- Subscriptions automatically renew until canceled
- You may cancel future renewals through the available account or billing settings
- Fees are non-refundable except as required by law or expressly stated by us
We may change prices or plan features from time to time. If required, we will provide notice before changes take effect.
11. Third-Party Services
The Service may use Microsoft Azure infrastructure, storage, AI, and communications capabilities or relevant capabilities from other providers to complete features you choose. These may include application hosting, business databases, file storage, caches and task queues, model inference, document analysis, content understanding, translation, backend credential management, operational monitoring, and verification email. Application-image storage concerns application software and build artifacts, rather than requiring users' private content to pass through it.
The actual services used depend on the feature, submitted material, and processing configuration; not every item passes through all services. Providers may process necessary authorized text, images, documents, context, generated results, account information, or delivery status within the relevant scope. Original recordings and voiceprint models are not uploaded. Backend credential management does not establish user-exclusive at-rest encryption keys. Microsoft manages at-rest keys for the main file storage and database described above.
Memova remains responsible for in-app account permissions, content ownership, processing flows, and business-data management. Cloud infrastructure does not replace these protections or grant other users access to private content. In-app results and linked pages may use different access mechanisms. Some older pages can be viewed without sign-in by anyone holding a valid link.
Memova business records, provider temporary processing material, response records, and security logs may have different retention rules. Deletion does not mean synchronized physical erasure of all provider copies, and restrictions on general-purpose model training do not imply comprehensive zero retention. See the Privacy Policy for details.
Third-party use may be governed by the provider's terms and policies. We are not responsible for third-party services we do not control. Using a provider does not expand your authorized content or purposes or remove Memova's responsibilities under its Privacy Policy and applicable law.
12. Intellectual Property
Memova and its licensors own all rights, title, and interest in and to the Service, including software, design, interfaces, trademarks, logos, and other materials, excluding Your Content.
You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the Service except as expressly permitted by these Terms or applicable law.
We welcome feedback, suggestions, and ideas. If you provide feedback, you grant us the right to use it without restriction or compensation, provided we do not disclose Your Content in doing so.
13. Service Availability
We aim to provide a reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times.
The Service may be unavailable due to maintenance, updates, technical issues, security events, third-party failures, or circumstances beyond our control.
14. Disclaimers
The Service is provided “as is” and “as available.”
To the fullest extent permitted by law, Memova disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
We do not warrant that:
- The Service will meet your requirements
- The Service will be uninterrupted, secure, or error-free
- Transcripts, summaries, answers, or other outputs will be accurate, complete, or reliable
- Any content will be preserved, recoverable, or free from loss
15. Limitation of Liability
To the fullest extent permitted by law, MEMOVA LLC and its officers, directors, employees, contractors, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of:
- The amount you paid to Memova for the Service in the 12 months before the claim arose; or
- USD $100
Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless MEMOVA LLC and its officers, directors, employees, contractors, agents, affiliates, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your Content
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of applicable laws or third-party rights
- Your recording, transcription, analysis, sharing, or use of conversations or files
17. Termination
You may stop using the Service at any time. Stopping cloud use does not automatically withdraw previously submitted content or delete saved cloud information. Existing tasks follow their cancellation rules. Account closure uses the deletion request process; request acceptance and completion of background cleanup are different stages, as described in the Privacy Policy.
We may suspend or terminate access if we believe you have violated these Terms, created risk or legal exposure, or used the Service in a way that may harm us, other users, or third parties.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive remain effective, including ownership, disclaimers, limitations of liability, indemnification, and dispute provisions.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and provide additional notice where required.
Your continued use of the Service after updated Terms become effective means you accept the updated Terms.
19. Regional Consumer Terms
Nothing in these Terms limits rights or remedies that cannot be waived under applicable consumer protection, privacy, or data protection law.
If you are a consumer in the United States, applicable federal and state consumer laws may provide additional rights. If you are a consumer in Canada, applicable federal or provincial consumer and privacy laws may provide additional rights. If these Terms conflict with a mandatory protection that applies to you, the mandatory protection controls to the extent of the conflict.
Cancellation, renewal, refund, warranty, and liability terms remain subject to any non-waivable requirements that apply where you live.
20. Governing Law and Disputes
Except where mandatory consumer law requires otherwise, these Terms and any dispute arising out of or relating to them or the Service are governed by applicable United States federal law and the laws of the U.S. state in which MEMOVA LLC maintains its principal place of business, without regard to conflict-of-laws rules.
Before filing a formal claim, you and Memova agree to make a reasonable good-faith effort to resolve the dispute informally. A notice to Memova should be sent to hello@memova.ai and should describe the issue and the requested resolution. If the dispute is not resolved within 30 days after a complete notice is received, either party may pursue available remedies in a court of competent jurisdiction, subject to any mandatory law that applies.
Nothing in this section prevents either party from seeking urgent injunctive relief or filing a claim in small claims court where eligible. Nothing in these Terms deprives a consumer of the protection of mandatory laws or courts available in the consumer’s place of residence.
